By accessing or using the WealthY Service (defined below) you (“Customer”) agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a firm, dealer, or other legal entity you represent that you have authority to bind that entity. If you do not agree to these Terms, do not use the Service.
“Service” means WealthY’s hosted wealth-management platform, including its web application, mobile applications, APIs, and associated documentation. The Service provides advisor productivity tools, client portals, forms workflows, portfolio views, meeting-prep assistance, and integrations with third-party providers. WealthY may add, modify, or discontinue features from time to time.
Nothing in the Service constitutes personalized investment advice, a solicitation, an offer to buy or sell securities, or a recommendation to enter into any financial transaction. Registered advice, order execution, custody, and account administration are provided exclusively by the CIRO-regulated dealer or portfolio-management firm you are affiliated with. WealthY is not a party to the advisor-client relationship. Any output generated by the Service’s AI features is informational only and must be reviewed by a qualified registered representative before being relied upon or shared with clients.
Where the Service is used at a firm that is a member of the Canadian Investment Regulatory Organization (CIRO) or is regulated by the Autorité des marchés financiers (AMF) in Québec, that firm’s own regulatory obligations, books-and-records requirements and supervisory procedures prevail over any conflicting term of this Agreement. WealthY is a technology provider and is not a dealer, adviser or registrant. Nothing in the Service is investment advice, and the firm remains responsible for the advice it gives and the records it must keep. WealthY will cooperate with a lawful regulatory audit or request and will produce the records it holds for the firm on lawful request.
WealthY and its licensors retain all right, title, and interest in the Service, including all software, documentation, and any improvements, modifications, or derivative works. Customer retains ownership of its uploaded data. Customer grants WealthY a limited licence to process that data solely to deliver the Service.
WealthY’s processing of personal information is governed by the Privacy Policy and, where applicable, a separate Data Processing Addendum (DPA). Data-residency, sub-processor, retention, and breach-notification terms in the DPA prevail where inconsistent with these Terms.
The Service integrates with third-party products (Google, Microsoft, Zoom, Aviso, Broadridge, Addepar, Documenso, etc.). Your use of those products is subject to their own terms. WealthY is not responsible for the availability, accuracy, or content of third-party integrations.
Fees, the billing period and any minimum term are set out in the Customer’s order form, subscription agreement or invoice. Fees are stated in Canadian dollars unless the order form says otherwise and do not include HST, GST, QST or other applicable taxes, which are added to each invoice. Invoices are due within 30 days. Amounts more than 30 days overdue bear interest at 1% per month (12.68% per year). WealthY may suspend access to the Service on 10 days’ written notice for an invoice that remains unpaid after that notice, and will restore access when the account is brought current.
WealthY will defend the Customer against any third-party claim that the Service, as provided by WealthY, infringes that third party’s intellectual property rights, and will pay the damages and costs finally awarded or agreed in settlement. The Customer will defend WealthY against any third-party claim arising from the Customer Data, from the Customer’s use of the Service in breach of Section 3 or of applicable law, or from the advice the Customer gives its clients, and will pay the damages and costs finally awarded or agreed in settlement. The indemnified party must give prompt notice of the claim, allow the indemnifying party to control the defence and settlement, and provide reasonable cooperation.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts sitting in Toronto, Ontario, subject to the mandatory application of Québec consumer-protection law where the Customer is domiciled in Québec.
We may update these Terms from time to time. Material changes will be posted on the Service with at least 30 days’ advance notice for existing paid customers.
